INFORMATION - TRADING CONDITIONS
     
  General Trade Terms
1. Scope
  • These General Trade Terms apply to foreign orders for all products listed in the export catalogue for 2011 calendar products of company Helma 365, s.r.o., seat at Opletalova 1013/59, 110 00 Praha 1, Czech Republic (herinafter “seller”).
  • If a purchase contract is concluded, it is prior to these General Trade Terms.
2. Orders
  • The seller will deliver a minimum quantity of a single type of product, i.e. one pack (quantity of units) as listed in the price list.
  • The buyer shall send orders in writing using one of the following methods:
a) By fax: +420 284 840 188
b) By e-mail: export@helma365.eu
c) Via the e-shop: http://eshop.helma365.eu
  • Orders made through the e-shop will be given preference.
  • The seller will confirm every order on the second working day after the day the order is received at the latest, will indicate which items are not currently available and will propose a schedule for the buyer for the delivery of the products. This schedule will be approved by both parties and this will make the order binding. The seller retains the right to decline the order in exceptional cases without stating a reason.
  • Every order must contain the identification data of the buyer, the code and name of the products, the quantity and requested delivery date.
  • Confirmed orders can only be changed or cancelled after mutual agreement between the parties.
  • Information about available quantities will be given at the seller’s e-shop.
3. Prices
  • Prices are set according to the seller’s official price list for 2011 calendar products including agreed percentage discounts on the recommended retail prices or including direct selling price with discount. The discounts do not apply to additional services.
  • The price list shall be sent to the buyer upon his request via e-mail or post, or is available on the e-shop.
  • The discount will be indicated by a sales representative on request, after registration at the e-shop or in the purchase contract.
  • Prices do not include transport, insurance and pallets (10 Euro per EUR-pallet).
4. Payment conditions
  • If a purchase contract has not been concluded, a deposit must be paid on the basis of an advance invoice. The products can be checked at any time before dispatch at the seller’s warehouse.
  • For standard products from the seller’s catalogue 100% payment must be made before the products are dispatched.
  • For customised products 50% must be paid 20 working days before dispatch at the latest. The remaining 50% must be paid before dispatch.
  • The date of payment is understood to be the day on which the payment is credited to the seller’s account or the day on which the buyer sends either a bank confirmation that the payment has been made or a statement from the seller’s bank account.
  • An invoice will be issued after the products have been dispatched from the warehouse.
  • If a contract has been concluded in writing, alternative payment conditions may be arranged.
5. Delivery
  • The products will only be dispatched when the payment conditions have been fulfilled.
  • The seller undertakes to prepare standard products from the catalogue for dispatch within 48 hours from order confirmation (except weekends and Czech public holidays). This obligation of the seller applies to quantities of up to 1,000 units of a single wall calendar per week and until 15/11/2010.
  • The seller undertakes to prepare PROMO wall calendars for dispatch within 14 working days from receiving the order.
  • The seller undertakes to prepare customised calendars for dispatch within 20 working days from order confirmation.
  • Delivery will be made according to EXW, Incoterms 2000.
  • Goods can be collected at the West Servis warehouse at the address Strojírenská 381, 264 01 Sedlčany, Czech Republic. Goods can be collected every working day between 8am and 6pm or at other times only after prior arrangement.
  • The seller can arrange transport and insurance on request and at the buyer’s cost.
6. Warranty claims
  • Warranty claims are subject to the warranty guidelines of Helma365.
7. Final provisions
  • Business relations are subject exclusively to the body of laws of the Czech Republic.
  • By sending an order, the buyer agrees with this General Trade Terms.
  • All disputes shall be finally decided by one Arbitrator, appointed by the Administrator of the List, from the List of the Arbitrators, kept by Společnost pro rozhodčí řízení a.s., with the registered seat in 120 00 Prague 2, Sokolská 60, in accordance with the Rules of the Arbitration procedure, published by Společnost pro rozhodčí řízení, a.s.
  • These terms are valid from 1.1.2010.
  • The seller retains the right to amend this General Trade Terms.
